TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of APlusAILabs.com and your purchase or use of products and services offered by A+ Technologies, Inc., doing business as A+ AI Lab ("A+ AI Lab," "we," "us," or "our"). By using the website, requesting services, placing an order, or accepting a proposal, you agree to these Terms.
1. BUSINESS SERVICES
A+ AI Lab designs, builds, configures, deploys, and supports AI workstations, local-first AI systems, business automation, software integrations, agent workflows, and related technology services. Specific deliverables, prices, schedules, support obligations, and technical requirements may be stated in a proposal, estimate, statement of work, order form, invoice, or other written agreement. If a written project agreement conflicts with these Terms, the project agreement controls for that project.
2. ELIGIBILITY AND AUTHORITY
Our commercial products and services are intended for adults and business users. If you act for a company or other organization, you represent that you have authority to bind that organization to applicable agreements.
3. ESTIMATES, ORDERS, AND CUSTOM WORK
Quotes and estimates are based on the information available when issued and may change if scope, hardware availability, licensing costs, third-party pricing, shipping, taxes, or customer requirements change. Custom hardware, special-order components, software configuration, data migration, training, and automation work may begin after authorization, payment, deposit, or other acceptance stated in the applicable proposal.
4. PAYMENT AND TAXES
You agree to pay charges shown in the applicable quote, invoice, order, subscription, or service agreement. Unless stated otherwise in writing, taxes, shipping, third-party subscriptions, cloud usage, API usage, model-provider charges, software licenses, and other external fees are separate from A+ AI Lab service fees. Past-due amounts may result in suspension of nonessential support or future work where permitted by law and contract.
5. HARDWARE AND SOFTWARE
Hardware may include new, used, refurbished, customer-supplied, or third-party components as identified in the applicable order or proposal. Manufacturer warranties, if any, are provided by the manufacturer and are subject to the manufacturer's terms. Software, open-source packages, AI models, APIs, and third-party services remain subject to their respective licenses and terms. A+ AI Lab does not transfer ownership of third-party intellectual property.
6. AI SYSTEMS AND OUTPUTS
AI models and automated systems can produce inaccurate, incomplete, outdated, biased, or unexpected results. You are responsible for reviewing material outputs before relying on them, especially for financial, legal, tax, employment, safety, healthcare, security, compliance, or other high-impact decisions. No AI system is guaranteed to be error-free, uninterrupted, autonomous, or suitable for every use case.
Local-first architecture is designed to keep appropriate workloads on customer-controlled systems when configured to do so, but some workflows may intentionally use cloud models, external APIs, remote support tools, hosted services, or other third parties. The applicable configuration and project scope determine actual data flow.
7. CUSTOMER RESPONSIBILITIES
You are responsible for:
- providing accurate requirements and authorized access needed to perform the work;
- maintaining lawful rights to data, systems, credentials, software, and content you provide;
- maintaining backups appropriate to your business risk unless backup services are expressly included;
- reviewing permissions and automation authority before enabling autonomous actions;
- complying with laws, industry rules, licenses, and third-party terms applicable to your use; and
- keeping credentials and access methods secure.
8. ACCEPTABLE USE
You may not use our website, systems, or services to violate law; infringe intellectual property or privacy rights; gain unauthorized access to systems or accounts; distribute malware; interfere with service availability; evade security controls; or use systems in a manner that creates unreasonable risk to people, property, networks, or data.
9. INTELLECTUAL PROPERTY
A+ AI Lab and its licensors retain rights in our trademarks, branding, site content, reusable tooling, templates, deployment methods, documentation, automation frameworks, and pre-existing intellectual property. Customer-specific data and materials remain the customer's property or the property of their respective owners. Ownership or licensing of custom deliverables may be further defined in the applicable written project agreement.
10. THIRD-PARTY SERVICES
Our systems may integrate with third-party products and services such as operating systems, open-source projects, AI model providers, cloud platforms, payment processors, communications tools, business software, and remote-access tools. Third-party services may change, discontinue features, impose usage limits, experience outages, or modify pricing and terms. We are not responsible for independent third-party acts or omissions.
11. CONFIDENTIALITY AND DATA
When we receive nonpublic customer information in connection with a project, we will use it for legitimate project, support, security, and business purposes and handle personal information as described in our Privacy Policy. More specific confidentiality or data-processing terms may be established in writing for a particular customer.
12. WARRANTIES AND DISCLAIMERS
We will perform paid professional services in a commercially reasonable manner. Except for express written warranties in a specific order or agreement, the website, software configurations, AI systems, documentation, and services are provided "as is" and "as available" to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation where such disclaimers are legally permitted.
Nothing in these Terms eliminates rights that cannot legally be waived, including applicable manufacturer, consumer, or statutory rights.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, A+ AI Lab and A+ Technologies, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business opportunities, goodwill, or data; or losses arising from third-party services, AI output, customer configuration changes, unauthorized use, or failure to maintain appropriate backups.
To the maximum extent permitted by law, our aggregate liability arising from a specific product or service will not exceed the amount paid to A+ AI Lab for that product or service during the 12 months immediately preceding the event giving rise to the claim. This limitation does not apply where prohibited by law or to liability that cannot legally be limited.
14. SUSPENSION AND TERMINATION
We may suspend or terminate access to services for material breach, nonpayment, unlawful use, security risk, or conduct that threatens systems or others. You may stop using the website at any time and may cancel recurring services according to the applicable agreement and our Refund & Cancellation Policy.
15. GOVERNING LAW
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any court proceeding not subject to a separate written dispute-resolution agreement will be brought in a court of competent jurisdiction in Kentucky.
16. CHANGES
We may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Changes apply prospectively unless law or a separate written agreement provides otherwise.
